Any person (male or female) eighteen years of age or older can become a member of the Lewisporte Yacht Club by paying the annual membership fee of $30.00 or Associate Member (Social Only) $25.00. However, only boat owners are eligible to become flag officers; that is, hold positions on the executive. This latter stipulation also applies to eligibility for appointment to any committee struck by the Lewisporte Yacht Club to deal with yacht club business. Eligibility for membership is not restricted by one’s place of residence.

Constitution
of Lewisporte Yacht Club Inc.
1. Registered Office: The registered office of the Lewisporte Yacht Club is situated at the Marina Club House in Lewisporte.
2. Objectives: a. to promote and be actively involved in the emplacement of marine facilities and to promote marine recreational services for the benefit of its members and the general public b. to assist members and the general public in all matters pertaining to boating proficiency including marine navigation, communication and safety c. to promote marine related tourism in Notre Dame Bay and support harbour development d. to support and facilitate the construction and maintenance of buildings and related property that may be deemed necessary to achieve the objectives of the club Provided that the corporation a. shall not undertake any activities that would result in the revocation of its registration as a charity or as a public foundation for purposes of the Income Tax Act b. shall not permit its officers or employees to be comprised so that a majority of the same are related or do not deal at arms length c. shall not make non-qualified investment as defined by section 149 of the Income Tax Act.
3. Membership: a. membership in the Lewisporte Yacht Club Inc. shall consist of persons over the age of eighteen (18). Only regular members (boat owners) shall be permitted to become flag officers and/or executive committee members. All other members shall be known as crew members and will be eligible to hold positions on committees. b. admission to the Lewisporte Yacht Club shall be approved by the executive with a two-thirds (2/3) majority. All applications for membership shall be presented in writing and must be accompanied by membership fees. An application for membership must be signed by two (2) sponsoring members. c. a committee of the executive shall set all fees to be approved by a majority (fifty per sent (50%) plus one) of the members who comprise a quorum at a general meeting. 4. Income and Financial Year: The income and property of the Club, whensoever derived, shall be applied to the promotions and objectives as outlined above. The financial year of the Club shall end on March 31st of each year. All membership and other fees shall be due on April 1st of each year.
5. The Yacht Club Executive shall consist of: a.
Commodore Past Commodore
Fleet Surgeon b. Definitions The term executive refers to all the positions listed in item (a) above. The term flag officer refers to the following positions: Commodore, Vice-Commodore, Rear Commodore, Fleet Captain. Note that flag officers are elected for a specified term. The Past Commodore is an ex-officio or unelected member of the executive for a specified term. The term executive committee refers to the following positions on the executive: Fleet Surgeon, Treasurer, Secretary, Wharf Committee Chairperson, Social Committee and Public Relations Chairperson, Security and Safety Committee Chairperson. c. No Flag Officer shall hold the same office for more than one year. d. No member of the Executive Committee shall hold the same office for more than two years in succession. Notwithstanding this stipulation, any former office holder in good standing shall be eligible for re-election after an absence of a minimum of two years. “That constitution article 5(d) be amended so that the Lewisporte Yacht Club Executive may appoint an executive chairperson for an additional year beyond the normal two year period. Furthermore, this amendment will only come into effect when no candidate is available through the usual nomination process.” e. The Commodore shall be replaced each year by the Vice Commodore, who in turn is succeeded by the rear Commodore. The Fleet Captain then moves to the position of Rear Commodore and a new Fleet Captain is elected from the remaining members of the Executive or from the general membership. f. Notwithstanding (e), in the event that any flag officer does not wish to move up to a new position after serving his/her one-year term, the resulting vacated position(s) will be filled by the position(s) below. An election is then held to fill the remaining vacated position(s) from the remaining executive and general membership. g. The executive members shall be responsible for the day to day operation and general management of the Club and Yacht facilities. h. Vacancies on the executive committee shall be filled by appointment from the general membership by the remaining members of the executive. Note: A vacancy refers to a vacated position because of illness, death, resignation, etc. i. The Past Commodore shall be an e-officio member of the executive for a period of one year but shall have no voting privileges. Note: the position of Past Commodore is not an elected position. Hence the reason for no voting privileges. A quorum for a general meeting shall consist of the registered Lewisporte Yacht Club members present at a general meeting on condition that all members in good standing have been duly notified at least ten days in advance of the general meeting. A minimum of five members of the executive shall constitute a quorum at any executive meeting.
6. Duties of Executive Commodore: a. Overall responsibility for overseeing all activities of the club. b. Call Executive Meetings, General Membership Meetings and any Special General Meetings. c. Preside at all meetings as per (b) above. d. Ex-officio of all other committees dealing with club business. e. Direct the general operation of the club with assistance as deemed necessary. f. Cast the deciding vote in the event of a tie pertaining to a vote at an executive or at a general meeting. Vice Commodore: a. Responsible to the Commodore for the operation of the following committees and activities i. Wharf Committee ii. Coordinating and supervising of launching and haul-out b. Assumes responsibilities of the Commodore in the event that the Commodore is unable to fulfill his/her duties. Rear Commodore: a. Responsible to the Commodore for the operation of the following committees and activities. i. Safety and Security Committee ii. Yacht Club grounds and property Past Commodore: a. Ex-officio member of the executive b. Responsible to the Commodore for designated activities. Fleet Captain: a. Responsible to the Commodore for the operation of the following i. Boat Parade ii. Flotillas b. To act as Archivist and keep records of the Club's activities and its history. This includes the displaying of them, where feasible, at the Club, thus insuring the preservation of those for the future. Treasurer: a. To ensure that all the Club’s funds are properly accounted for and promptly deposited in the Club’s bank account. b. To ensure that members’ accounts and accounts receivable are promptly paid and that accounts payable by the Club are properly documented and forthwith submitted to the executive for payment. c. Review and monitor all the financial affairs of the Club and advise the flag officers on same d. Develop a financial budget for the Club for the upcoming year to be presented to the executive for approval early in the new financial year. e. In the budgetary process, to consult with all committee chairpersons to determine what matters relating to their respective responsibilities will or may affect the budget. f. Advise the executive on the budgetary options for the coming year and the probable implications of same. g. Make recommendations as deemed necessary to the executive on the Club’s financial security of the Club. h. Assist and advise other committees of the Yacht Club on financial matters related to their specific responsibilities. i. Carry out such other duties as the flag officers may delegate from time to time. j. Present at regular general meetings a written financial report detailing the financial condition of the Lewisporte Yacht Club at that specific point in time. k. Ensure that all financial records of the Lewisporte Yacht Club are audited by an auditor/auditors selected by the executive of the Lewisporte Yacht Club. l. Keep a file of all invoices and purchase orders pertaining to expenditures associated with the operation of the Lewisporte Yacht Club and Lewisporte Marina for a period of two years. m. Present a copy of all invoices to the executive for analysis and action. n. File a copy of all financial records at the Lewisporte Yacht Club Clubhouse. Secretary: a. To ensure that a proper and current roll of members, including honorary members is maintained and to report to the treasurer any changes in the membership roll. b. To act as corresponding secretary for the club. c. To notify members of the executive of forthcoming meetings of the executive and to notify all other members of the Yacht Club of all scheduled meetings of the general membership of the Club. d. To maintain and record minutes of all proceedings at meetings of the executive and general and special meetings of the Club. e. To assist the Commodore or the chairperson of the executive from time to time in the orderly dispatch of business at meetings of the executive or of the general membership. f. To carry out such other duties as the flag officers may delegate from time to time. g. In liaison with the Treasurer, maintain an up-to-date file of membership phone numbers, mailing addresses as well as e-mail addresses and Fax numbers where applicable. h. Maintain a separate list of members who rent docking space and those who trailer their vessels to the small boat launch. Wharf Committee Chairperson: a. To select two other committee members from the general membership. b. To examine the condition of wharves and/or Club moorings from time to time and to report to the flag officer any repairs and maintenance required and to see that repairs and maintenance are performed as directed. c. To maintain a list of wharf space and moorings and their occupants both permanent and temporary. d. To maintain and post a waiting list of members who wish to acquire wharf space in accordance with the principles and priorities established by the executive from time to time. e. In conjunction with the Chairperson of the Safety and Security Committee, to ensure an adequate supply of safety equipment is available on the wharves. f. To oversee the operation of the service wharf, fuel pumps (where applicable), water supply and electrical supply while giving particular attention to accessibility and safety. g. To promote and be involved in the planning for future wharf expansion and to make recommendations to the flag officer as is deemed necessary. h. To perform such duties as may be assigned by the flag officer from time to time. Note: The term wharf refers to the main wharf as well as all floating piers. Safety & Security Committee Chairperson: a. To select two other committee members from the General Membership. b. Review all matters pertaining to security and safety of members and their guests and Club members’ property and to make recommendations to the flag officer concerning the following: I. Watchman service II. Gate Security III. Safety and security on the wharfs and docks IV. Safety and security on all Club grounds V. Bicycles on Club property (including wharf and docks) VI. Monitoring vehicles on the wharf and on other Club property VII. Warning and restrictive signs on Club property (including parking by members, by guests) VIII. Signs, parking area and policy for boats using the small boats ramps IX. Fire extinguishers in Club House, in shed and on the docking and refueling areas X. Life rings with proper throw lines on wharves c. Early in the Club Year to determine budgetary requirements for the year and to report same to the Treasurer prior to preparation of the overall budget for the Yacht Club operations. d. To determine whether all Marina property or Yacht Club property is properly protected against fire and other hazards and to recommend regulations, or review same, as the case may be, for the preservation of the Club property and the safety of the users of the Marina property. e. To review the overall insurance coverage on Club property, both liability and fire insurance, and advise the flag officer of any perceived deficiencies or any additional coverage required. f. In consultation with the manager, arrange for demonstration and presentation on safety and security of person and property which is deemed to be in the best interests of the general membership; e.g. life raft demonstration, handling flares, new flare regulations, rescue techniques, new safety regulations, encourage safety courses. g. Co-ordinate with appropriate authorities to have members’ boats inspected to ensure that proper safety equipment is on board. This should be done as soon as possible after the commencement of the boating season. h. Establish an inspection system to make sure that the haul-out system is operating at peak efficiency and that proper procedures are in place for the haul-out, the storage and the launching of vessels to minimize risk and hopefully totally eliminate any damage to property or any personal injury during those essential operations. i. To carry out such other related duties and responsibilities as the flag officer may assign from time to time. Social, Public Relations and Membership Committee Chairperson: a. To select two other committee members from the general membership. b. To consult with other clubs or marinas regarding intra club activities. c. In consultation with the flag officers to deal with the press and other media with respect to announcements, releases or other specific matters affecting the Club’s image in the community and in the public at large. d. To be responsible for co-ordinating new applications for membership and pass them on to the Executive for analysis and approval. e. To perform other duties as may be assigned by the flag officers from time to time. 7.
General Meetings: a. An Annual General Meeting will be held during the month of March, at which time a new executive shall be elected and prepared to take office effective April 1st. b. A nominating committee appointed by the executive shall present names of prospective executive members to the executive two weeks prior to the AGM. Not withstanding the preceding arrangement, nominations shall also be accepted from the floor for any vacancies. c. The Executive of the Lewisporte Yacht Club to meet at least every month or more often if deemed necessary. d. There shall be a meeting of the general membership every three months. Notification of a general meeting is to be made two weeks prior to any meeting. Notwithstanding the above policy, a special general meeting may be called at the discretion of the flag officers or the Commodore. e. The business of the AGM shall pertain to the following items, but shall not be restricted to only those items. XI. Presentation of the minutes of the last AGM and the preceding general meeting XII. Presentation of the annual report of the executive as presented by the Commodore or his designate. XIII. Presentation of a detailed financial statement by the Treasurer or his designate. XIV. Presentation of the auditor’s report. XV. Appointment of the auditor(s) for the upcoming financial year. XVI. Election of officers as conducted by the chairperson of the nominating committee.

Revisions and Amendments: a. Revisions to this constitution shall be in the form of amendments only. b. Amendments to the constitution can only be initiated on a motion from the General Membership. c. A Constitution Committee of three persons appointed by the executive from the general membership shall submit the proposed amendment(s) to the executive who in turn shall present the recommended amendment(s) to the General Membership for discussion and ratification. d. Amendment must be ratified by seventy-five per cent (75%) of the members present at a general meeting of the Lewisporte Yacht Club.

Contract between Lewisporte Yacht Club and Boat Owners RE:
Liability for damages on Yacht Club property:
The owner to be responsible for any damage done to their boat on dock,
boat launches, wharf and trailer parking area.
Statement of Acceptance of Responsibility Document must be signed while
using Yacht Club facilities. 7.
Blocking for winter storage on dock.
Boat owners are responsible to supply blocking and sufficient posting,
which must be approved by Facility Manager.
Owner is required to remove all blocking and posts from dock area after
the boat launching. Failure to do so
will result in disposal by dock employees. 8.
Dock personnel should be given at least two days notice for
launching and haul up. 9.
Boat owners to supply a minimum of one assistant to assist dock
employee to launch or haul-up boat, or Yacht Club will supply at owner’s
